3. User Accounts

To use our services, you must:

• Create an account with accurate information
• Keep your login credentials secure
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized use

4. Acceptable Use

You agree not to use our services to:

• Generate or promote malicious, spam, or illegal content
• Violate any laws or regulations
• Infringe on intellectual property rights
• Attempt to bypass our security measures
• Use automated tools (other than our official API) to abuse our systems or scrape data
• Submit data or information you don't own or have permission to analyze/process

5. Payment Terms

Our pricing and payment terms:

• All prices are displayed in USD and are subject to change with 30 days notice.
• Payment is required in full before service delivery and subscription activation or credit allocation.
• We accept multiple payment methods including credit cards, cryptocurrency, and other payment processors.
• All transactions are processed securely through encrypted payment gateways.
• Service subscriptions and credits are allocated to your account immediately upon successful payment.
• Credits for specific features (if applicable) do not expire and remain valid for the lifetime of your account, unless otherwise specified.
• Credits are non-transferable between accounts.
• Promotional credits or discounted subscriptions may have expiration dates as specified at the time of issue.

6. Service Credits and Usage

Understanding how your credits work (if using a credit-based system for certain features):

• One credit typically equals one unit of a specific service, e.g., one keyword lookup, one content analysis report, etc. (Adjust based on your actual credit system).
• Credits are deducted immediately upon successful execution of the service.
• Failed requests due to invalid input or system errors will generally not deduct credits.
• All purchases are covered by our 14-day unconditional refund guarantee — see our Refund Policy for details.
• Duplicate submissions or re-running reports will consume credits as separate requests.
• You are responsible for managing your credit balance.
• We will notify you when your credit balance is low (for credit-based plans).
• API access requires an active account with available credits or an active subscription plan.

7. Service Availability and Performance

While we strive to provide reliable service with high availability:

• We target 99.9% uptime but do not guarantee 100% availability.
• Scheduled maintenance will be announced in advance when possible.
• Emergency maintenance may occur without prior notice.
• Service interruptions due to third-party providers (e.g., data sources, cloud infrastructure) are beyond our control.
• We may temporarily suspend service for security concerns or policy violations.
• Data processing timelines are estimates; actual results and reporting speeds may vary.
• Search engine algorithms are complex and dynamic; our tools provide insights but do not guarantee specific ranking or traffic outcomes.
• We rely on third-party data sources, and while we strive for accuracy, we cannot guarantee the absolute veracity or completeness of all data.

8. API Usage and Rate Limits

If you use our API services:

• API access is provided as-is and subject to rate limits based on your subscription plan.
• You must keep your API keys confidential and secure.
• Unauthorized API access or key sharing will result in account suspension.
• Rate limits prevent system abuse and ensure fair usage across all users.
• Exceeding rate limits may result in temporary access restrictions.
• API documentation is provided for integration guidance.
• We may modify API endpoints with reasonable notice.
• Breaking changes will include migration guidance and transition periods.

9. Intellectual Property Rights

All content, features, and functionality of SERPTOOLS.AI are owned by AngelPBX Limited and protected by international copyright, trademark, patent, and other intellectual property laws:

• The SERPTOOLS.AI name, logo, and branding are our trademarks.
• Our software, code, algorithms, and technology (including AI models) are proprietary.

12. Limitation of Liability

13. Indemnification

You agree to indemnify and hold harmless AngelPBX Limited (DBA SERPTOOLS.AI) and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms of Service.
• Your violation of any laws or third-party rights.
• Content, data, or URLs you submit through our service.
• Unauthorized access to your account due to your failure to secure credentials.

14. Account Termination and Suspension

We reserve the right to terminate or suspend accounts under certain circumstances:

• Violations: Immediate termination for serious violations of these terms.
• Abuse: Suspension for suspected abuse, fraud, or illegal activity.
• Inactivity: Accounts inactive for 24 months may be deleted with 30 days notice.
• Voluntary: You may close your account at any time through account settings.
• Effect: Upon termination, your access will cease. Unused subscription time or credits may be eligible for refund per our Refund Policy.
• Data Retention: Account data will be deleted within 30 days of termination, subject to legal and operational obligations.

15. Dispute Resolution

If disputes arise:

• Informal Resolution: Contact us first at legal@serptools.ai to resolve disputes informally.
• Negotiation: Both parties agree to negotiate in good faith for 30 days.
• Arbitration: Unresolved disputes will be settled through binding arbitration in Hong Kong, administered by an independent arbitration body agreed upon by both parties, in accordance with its rules.
• Class Action Waiver: You agree to resolve disputes individually, not as part of any class action, consolidated action, or representative action.
• Small Claims: Either party may pursue claims in small claims court, if applicable.

16. Governing Law and Jurisdiction

These terms are governed by applicable laws:

• These Terms are governed by the laws of Hong Kong SAR.
• Disputes shall be resolved in the courts of Hong Kong SAR, unless resolved by arbitration as per Section 15.
• You consent to personal jurisdiction in these courts.
• If any provision is found to be invalid, the remaining provisions will remain in effect.
• International users must comply with local laws regarding internet usage.

17. Modifications to Terms

We may update these Terms of Service from time to time:

• Material changes will be posted with 30 days advance notice.
• Notice will be provided via email to registered users or prominently displayed on our website.
• Updated terms will be posted on this page with a revised "Last updated" date.
• Continued use after changes take effect constitutes acceptance.
• If you disagree with changes, discontinue use and close your account.
• Changes will not affect disputes arising before the effective date.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AngelPBX Limited (DBA SERPTOOLS.AI) regarding use of our services, superseding any prior agreements or understandings.
